Domain Registration Agreement

This Domain Registration Agreement ("Agreement") is between American Digital Services, LLC ("Company", "we", "us", or "our") and the individual or entity purchasing domain registration services ("Customer", "you", or "your").
1. Incorporation of ICANN Policies and Registrar Terms
American Digital Services, LLC provides domain registration, renewal, and management services as a reseller. The overarching rules governing domain names are established by the Internet Corporation for Assigned Names and Numbers (ICANN). By purchasing, registering, renewing, or transferring a domain name through us, you explicitly agree to be bound by ICANN consensus policies, as well as the master terms, privacy policies, and dispute resolution guidelines of our upstream ICANN-accredited registrar, NameSilo, LLC.
- You acknowledge that you have read, understood, and agree to the NameSilo LLC Terms and Conditions and the ICANN Uniform Domain Name Dispute Resolution Policy (UDRP).
- In the event of any structural conflict between this Agreement, the NameSilo Master Agreement, or ICANN policy regarding the legal rights to a domain name, the ICANN policy or NameSilo Master Agreement shall prevail.
2. Registration Information and WHOIS Accuracy
You must provide current, complete, and accurate contact information for the domain owner (Registrant), administrative, technical, and billing roles. Under ICANN rules, providing false data or failing to update information within seven (7) days of a change constitutes a material breach and may result in the immediate deactivation, suspension, or cancellation of your domain name.
3. Fees, Renewals, and Invoicing Policies
- Payment Required for Processing: No domain registration, renewal, or transfer request will be processed or submitted to the registry until American Digital Services, LLC has received full payment for the associated invoice.
- Automatic Suspensions: Hosting and infrastructure accounts are subject to immediate suspension if invoices remain unpaid for fifteen (15) days past the invoice date. If your account is suspended, your domain name servers (DNS) may stop publishing, resulting in a total disruption of web and email services.
- Forfeiture and Deletion: We are not liable for the loss of any domain name resulting from expired registrations due to late or unpaid client invoices. Expired domains will enter standard ICANN redemption and reactivation cycles, which may incur substantial restoration fees or lead to public auction.
4. Limitation of Liability
American Digital Services, LLC serves solely as an intermediary interface for domain management. In no event shall our total aggregate liability for any dispute, domain loss, configuration error, or interruption of business exceed the exact amount paid to us for the specific domain registration service during the current term.
